8. Fees and Payment

Payments are due according to the payment terms listed on your invoice or agreement
Late payments may result in paused work, suspended access, or termination of services
Fees paid are non-refundable unless otherwise stated in writing

If services are subscription-based, recurring services will continue until canceled according to the agreed cancellation terms.

You are also responsible for any third-party software, subscription, usage, messaging, hosting, advertising, domain, or platform fees unless expressly stated otherwise in writing.

9. Intellectual Property

During a client engagement, unless otherwise agreed in writing:

Crest Authority retains ownership of its pre-existing materials, frameworks, templates, methods, internal systems, and know-how
Upon full payment, the client may use final deliverables created specifically for that client for their internal business use
The client may not resell, repackage, reproduce, or distribute our proprietary systems, templates, or materials without written permission

You retain ownership of the content, brand assets, data, and materials you provide to us. You grant us a limited right to use those materials solely for the purpose of providing services to you.

10. Confidentiality

Each party may receive non-public, confidential, or proprietary information from the other. Both parties agree to use such information only as necessary for the business relationship and not disclose it to third parties except as required to perform services or as required by law.

This section does not apply to information that is publicly available, already known without confidentiality obligations, or independently developed without use of confidential information.
